By using this site and/or downloading any material, agree to the following terms of use (the "Terms of Use").

The Terms of Use apply to you, and if you are using this Website on your employer's behalf, to you and your employer. SpinStock ("SpinStock") reserves the right to change this Agreement from time to time at its sole discretion, and your use of the site will be subject to the most current version posted on the site at the time of your use. If you do not agree with these terms you should leave this website immediately, not use the files herein, and/or not subscribe to this service.

This site is owned and operated by SpinStock. All images and related informational materials in any medium furnished by SpinStock hereunder, including related text, captions, or information (collectively, the "Content") are owned by SpinStock or our Content providers. All Content including the design or layout of SpinStock.com (the "Website" or "Site") are protected by Canadian and international copyright laws.

Any Content downloaded by you from this Site, including, without limitation, any files, images incorporated in or generated by the site, and data accompanying the site is licensed to you by SpinStock. Downloading the Content does not transfer title to the Content, or any intellectual property rights therein, to you. You may not redistribute or sell the content.

SpinStock allows you to search for, view, and use Watermarked Content only for evaluating whether you wish to purchase a license to the Non-Watermarked Content according to the Terms of Use applicable to your use. You may use the Watermarked Content for up to sixty (60) days from the date of download in your internal "comps" and layouts to assist in your evaluation. You may not use Watermarked Content in any final materials distributed within your company or any materials distributed outside of your company or to the public or in any online or other electronic distribution system. You may not modify, alter, or remove any visible or electronic watermark, or disassemble, reverse engineer, or decompile any Content. If you have registered for a SpinStock account and SpinStock has approved your registration, you may be able to access Non-Watermarked Content, which shall be used only as permitted in the Terms and Conditions. You may not remove any copyright or other proprietary notices contained in the Content, caption information, or any other material on this site. SpinStock reserves the right to revoke your authorization to view, download and use the Content and information available on this site at any time, and you agree to immediately discontinue your such use upon written notice from SpinStock. All rights not specifically granted under this Agreement are reserved to SpinStock. Additionally, you may not employ software to "spider" or search our Website and/or retrieve Content or related information.

SPINSTOCK SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, RESULTING FROM (A) THE USE OR THE INABILITY TO USE SPINSTOCK OR (B) FOR THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES OR (C) RESULTING FROM ANY GOODS OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH SPINSTOCK OR (D) RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, USE, DATA OR OTHER INTANGIBLE, EVEN IF SPINSTOCK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Despite our efforts to provide accurate information, this site may contain technical or other mistakes, inaccuracies or typographical errors. Additionally, this site and any Content may include historically and culturally important images and text that may contain subjects that reflect the social attitudes and circumstances of a particular time or location. You should be aware that your search may display results containing content that may seem inappropriate to its context, or text that could be potentially offensive. If a membership is terminated, you agree to immediately (i) stop using this site and the Content, (ii) delete all Content and all copies from all magnetic media and destroy all other copies, or at SpinStock's request return all such copies to SpinStock. Your use of this site and any Content shall comply with all applicable law. SpinStock may restrict or remove your access to this site at any time, or restrict or remove the use of any Content for any reason, and may replace the Content with another Content, and you agree to immediately discontinue all use of the Content upon notification from SpinStock.

The SpinStock sites (excluding linked sites) are controlled by SpinStock from its offices within the Province of Ontario, Canada. By accepting the terms of this agreement, both you and SpinStock agree that the statutes and laws of the Province of Ontario, without regard to the conflict of laws principles thereof, will apply to all matters relating to any and all use of the SpinStock sites. You agree that exclusive jurisdiction for any dispute with SpinStock resides in the courts of the Province of Ontario and you further agree and expressly consent to the exercise of personal jurisdiction in the courts of the Province of Ontario in connection with any dispute including any claim involving SpinStock or its affiliates, subsidiaries, employees, contractors, officers, directors, telecommunication providers and content providers.

We will collect information, including names, addresses and other information through the Website. Such information shall be stored on a secure remote server. You may access this information at any time by downloading it from our servers using your private password and "login" identifier. You will be responsible for protecting the privacy and security of any information that you retrieve from our servers and shall indemnify SpinStock and hold SpinStock harmless for any claims arising from unauthorized or illegal use or dissemination of such information. SpinStock does not store complete credit card information.

Each party shall comply with all applicable laws, regulations and guidelines governing online privacy in fulfilling its obligations hereunder and in collecting and using personal information about users of the Website. SpinStock shall not release to any third party personally identifying information about users of the Services without prior approval from such users, except that in the event a user makes an online purchase such personal identifying information may be submitted to a third party for fulfillment purposes. We may combine into statistical format information collected from online registrants and use or distribute such information to improve and promote our services or attract promotional partners. You agree to such issues and further agree that we may disclose information if we believe, in good faith, that it is necessary in order to: (a) comply with the law, (b) enforce the terms and conditions of this Agreement, or (c) protect the rights of you or us, to the extent that such disclosure is not otherwise prohibited by any law or regulation.
